Terms of Service for BQX Apps

Overview

BlackQuarry BQX Apps ("Apps", "we", "us", or "our") are digital platforms operated by Black Quarry L.L.C, United States, that facilitate professional introductions, verified deal listings, compliance checks, verification processes, and related collaboration between qualified users ("Users", "you", or "your"). This includes apps such as Lifesuite, BQX Verify, BQX Compliance, Dealroom, and others.

By accessing or using our BQX Apps (mobile or web), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Apps.

Eligibility

Our BQX Apps are available only to:

• Individuals 18 years or older
• Businesses or professionals legally capable of entering binding contracts

We may request identity or license verification at any time and reserve the right to deny or revoke access for non-compliance.

Nature of Service

Our BQX Apps are technology platforms providing digital tools to:

• Post, view, and manage verified business opportunities
• Exchange information under digital NDAs
• Facilitate introductions and communications
• Track success fees or payments through integrated processors (e.g., Stripe Connect)
• Perform compliance checks and verification processes

Our Apps are not licensed financial, brokerage, or real-estate intermediaries and do not provide investment advice, valuation, or agency representation. All transactions occur directly between Users at their own discretion.

User Responsibilities

You agree to:

• Provide accurate information and keep your profile updated
• Use our Apps only for legitimate business purposes
• Respect confidentiality of other Users and any NDA terms
• Comply with applicable laws (anti-money-laundering, sanctions, data protection, etc.)
• Refrain from posting false, misleading, or unlawful material

We may suspend or remove accounts that breach these Terms or harm platform integrity.

Payments & Fees

Certain features (deal unlocks, premium memberships, success fees) require payment via Stripe Connect or other approved methods.

• All payments are final and non-refundable unless required by law
• Success fees between Users are independent private arrangements. Our Apps may provide digital tracking but are not a party to such agreements
• Taxes, VAT, and bank charges are borne by the paying User

Verification & Badges

Our Apps may display verification indicators ("Verified", "Trusted Partner", etc.). These reflect completion of internal verification workflows but do not constitute endorsements, warranties, or guarantees. Users remain solely responsible for their representations and due diligence.

Confidentiality & NDAs

When you unlock or access confidential deal information, you automatically accept our Standard Mutual NDA, available in-app.

All information obtained through our Apps shall be treated as strictly confidential and used solely for evaluation of that specific opportunity.

Intellectual Property

All content, branding, design, and software of our BQX Apps are owned or licensed by Black Quarry L.L.C.

Users retain ownership of materials they upload but grant our Apps a worldwide, royalty-free license to display such content within the platform for its intended purpose.

Disclaimers & Limitation of Liability

Our Apps are provided on an "as-is" and "as-available" basis.

We make no warranties of any kind, express or implied, regarding completeness, accuracy, or reliability of any deal or user content.

To the maximum extent permitted by law, Black Quarry L.L.C shall not be liable for any direct, indirect, incidental, or consequential losses arising from use or inability to use our Apps.

Indemnification

You agree to indemnify and hold harmless Black Quarry L.L.C, its directors, affiliates, and contractors from any claim or demand arising out of your use of our Apps or breach of these Terms.

Suspension & Termination

We may suspend or terminate your account at any time, with or without notice, for violations of these Terms or for operational reasons. Upon termination, your right to access our Apps ceases immediately.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, with exclusive jurisdiction of the Courts of Dubai, unless otherwise required by mandatory law.

For international disputes, arbitration may be conducted under DIFC-LCIA Rules in Dubai, in English.

Changes to Terms

We may amend these Terms from time to time. Updated versions will be posted in-app and on blackquarry.com/legal. Continued use after changes constitutes acceptance.
